This position will provide comprehensive administrative support to the Corporate and Real Estate group, assisting attorneys in handling corporate law, governance, and real estate transactional matters, including work related to the Department of Housing and Urban Development (HUD). The ideal candidate will possess strong organizational skills, the ability to manage multiple tasks simultaneously, and a solid understanding of corporate and real estate law.
Key Responsibilities, including but not limited to:
Corporate Law Support:
- Assist in the preparation and filing of corporate governance documents (e.g., articles of incorporation, bylaws, amendments, resolutions).
- Support in the formation and maintenance of corporate entities, including drafting and organizing board minutes, shareholder agreements, and operating agreements.
- Coordinate corporate filings and annual compliance requirements with state agencies.
Real Estate Transactional Support:
- Prepare, proofread, and format real estate transaction documents, including purchase agreements, leases, and closing documents.
- Assist in the preparation of HUD-related documents and filings, including compliance with HUD regulations and guidelines.
- Coordinate due diligence materials for real estate transactions and manage document flow.
- Help facilitate the closing process, ensuring all documents are properly executed and filed.
General Legal Support:
- Draft and edit legal documents, including contracts, reports, and memoranda.
- Organize and maintain client files, both physical and electronic, ensuring all documents are properly indexed and easily accessible.
- Manage attorney calendars, schedule meetings, and coordinate conference calls and video conferences.
- Assist in preparing materials for client meetings and presentations.
Administrative Duties:
- Prepare and manage billing records, including time entry and preparing billing memos.
- Handle travel arrangements, expense reports, and other administrative tasks as needed.
- Communicate effectively with clients, outside counsel, and third-party service providers.
Qualifications:
- 3+ years of experience as a Legal Assistant, preferably supporting corporate and real estate transactional matters in a law firm environment.
- Proficiency in Microsoft Office Suite (Outlook, Word, Excel) and document management systems.
- Familiarity with HUD-related transactions, corporate governance, and real estate law.
- Strong organizational skills with the ability to manage multiple tasks and deadlines in a fast-paced environment.
- Excellent written and verbal communication skills, with keen attention to detail.
- Ability to work independently and as part of a team, maintaining confidentiality and professionalism at all times.
- Strong proofreading and document preparation skills.
- Ability to handle time-sensitive tasks and manage competing priorities.
- Knowledge of state and federal regulations applicable to corporate law, governance, and real estate transactions is a plus.
